Robo.ai to Acquire QC Capital in $60 Million Deal

Robo.ai, a Nasdaq-listed UAE-based company building a global artificial intelligence robotics network platform, has entered into an agreement to acquire 100% of QC Capital Limited, an AI-driven technology holding and venture-building platform, in a deal valued at $60 million.

The transaction will be paid through newly issued Class B ordinary shares, with the consideration shares set to vest over a period of up to eight years. The acquisition is expected to close within 30 business days, subject to customary closing conditions and other applicable requirements.

According to Robo.ai, the proposed acquisition forms part of its broader platform development strategy. QC Capital's capabilities span technology development, venture building, industrial investment and AI-driven investment systems.

QC Capital's operating model focuses on AI agents, vertical AI applications and industrial enablement across sectors including transportation, embodied robotics, intelligent manufacturing and industrial systems.

Its AI Investment Engine and QC Alpha system are designed to support industry analysis, project screening, due diligence, risk management, post-investment management, M&A screening and portfolio optimisation.

QC Capital's wider business system covers venture building, strategic investment, M&A platform development and AI investment technology, with focus areas including AI infrastructure, smart cities, robotics, autonomous driving, intelligent logistics, AI fintech, enterprise AI platforms and the next-generation digital economy.

Under the performance-based release mechanism, shares issued to QC Capital will be released over eight years subject to specified revenue targets, including a cumulative milestone of approximately $2.4 billion across 2026 and 2027.
